Notiphy Terms of Service

1. Acceptance of Terms

Welcome to Notiphy! These Terms of Service ("Terms") govern your access to and use of the Notiphy website, app, and related services (collectively, the "Service"). The Service is provided by Robert William Joyner, doing business as Notiphy, a sole proprietorship with an address at 5639 Lansing Drive, Charlotte, NC 28270. By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service. Use of the Service is also subject to our Privacy Policy (see Notiphy Privacy Policy below), which describes how we collect and handle your information.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to register for a Notiphy account or to purchase any subscription plan. Individuals under 18 but at least 13 years old may use the free Service only with the involvement and consent of a parent or legal guardian. The Service is not intended for children under 13, and we do not knowingly allow such individuals to use Notiphy. By using Notiphy, you represent and warrant that you meet these eligibility requirements. The Service is currently intended for users located in the United States. We make no representations that the Service is appropriate or available for use in other locations. If you access Notiphy from outside the U.S., you do so on your own initiative and are responsible for compliance with any applicable local laws.

3. Accounts and Registration

To use certain features of Notiphy, you may need to create an account. When registering, you agree to provide accurate, current, and complete information and to keep it updated (for example, if your email address or phone number changes). You are responsible for maintaining the security of your account credentials. Do not share your password with others, and notify us immediately at our contact email (see Contact Information below) if you suspect any unauthorized access to your account. You are responsible for all activities that occur under your account. Notiphy reserves the right to suspend or terminate any account we suspect is being used in violation of these Terms or any law.

4. Subscription Plans and Payments

Notiphy offers both free and paid subscription plans that provide different levels of service:

  • Free Plan: $0 per month, providing basic features of the Service.
  • Pro Plan: $5 per month, providing additional features beyond the Free plan.
  • Elite Plan: $10 per month, providing the most comprehensive set of features.

Billing and Auto-Renewal: By subscribing to a Pro or Elite plan, you authorize Notiphy (or our third-party payment processor, such as Stripe) to charge your provided payment method the applicable monthly fee on a recurring basis. Subscriptions automatically renew each billing period (e.g., monthly) until you cancel. We will bill the monthly subscription fee in advance of each period. All prices are listed in U.S. Dollars and may be subject to change; if we change subscription pricing, we will notify you in advance (for example, via email or via the Service) and such changes will apply after your current subscription period unless stated otherwise.

Cancellation: You may cancel your subscription at any time. Cancellation will prevent future billing, and you will continue to have access to your paid plan features until the end of the current billing period. To cancel, you can use the account settings on the Notiphy website or app, or contact Notiphy support. We do not generally provide refunds for the current billing period once payment has been processed, but your cancellation will take effect from the next billing cycle. (For example, if you cancel mid-month, you will not be charged for the following month, but the current month's subscription will not be refunded.) Notiphy will not impose any penalties for cancellation; you are free to stop your paid subscription whenever you choose.

5. Referral Program

From time to time, Notiphy may offer a referral program or promotional incentives to users who refer new customers or perform certain actions. The details of any current referral program (such as rewards, credits, or discounts) will be published on the Notiphy website or communicated to you through the Service. Any referral program is provided as a courtesy and can be modified or terminated at any time at Notiphy's sole discretion. We reserve the right to set or change the terms of referrals – for example, limiting the number of referrals, the reward amount, or the conditions for earning a reward. All referral rewards are subject to verification. Notiphy may withhold or cancel rewards if we believe a referral was obtained through fraudulent, abusive, or unethical behavior, or in violation of any applicable law or these Terms.

6. Communications and User Consent

Electronic Communications: You agree that Notiphy may send you certain communications electronically. These communications may include account-related or transactional messages (e.g. account verification codes, password resets, notification alerts, receipts for payments, or important notices about your subscription and account) and, if you opt in, promotional or marketing messages (such as newsletters or feature updates via email). We will primarily communicate with you via the email address you provided, and possibly via the Notiphy app/website interface or other contact information (such as your phone number for important SMS notices).

SMS/Text Messages: If you provide a phone number and enable text-based features, Notiphy may send you text messages (SMS) through our third-party messaging service (e.g., via Twilio) for purposes such as multi-factor authentication, alert notifications, or other service-related communications. Standard messaging and data rates may apply according to your cellular plan. By providing your phone number, you consent to receive SMS messages from Notiphy relevant to your use of the Service. You can opt out of receiving text messages at any time by disabling them in your account settings or by contacting support.

No Emergency Use: You acknowledge that Notiphy's Service is not a certified emergency or life-safety service. The notifications and messages provided by Notiphy are not intended to be used as a sole means to alert others or authorities in emergency situations (e.g., Notiphy is not a substitute for a monitored emergency notification system or calling 911). We make no guarantee that messages or notifications will be delivered promptly or at all in every case. Do not rely on Notiphy for any critical communications or emergencies.

7. Acceptable Use and User Responsibilities

We expect users of Notiphy to use the Service responsibly and lawfully. By using Notiphy, you agree NOT to engage in any of the following prohibited activities:

  • Illegal Activities: Do not use the Service for any unlawful, illegal, fraudulent, or malicious purposes.
  • Unauthorized Access: Do not attempt to interfere with or disrupt the Service or servers.
  • Harassment or Harm: Do not use Notiphy to harass, threaten, or stalk anyone.
  • Spam and Unsolicited Messaging: Do not use the Service to send spam or mass unsolicited communications.
  • Impersonation and Misrepresentation: Do not impersonate any person or entity.
  • Interference and Overloading: Do not take any action that imposes an unreasonable load on our infrastructure.

Violation of the above (or any other aspect of these Terms) may result in immediate suspension or termination of your account and access to Notiphy, at our sole discretion, and may also subject you to legal consequences.

8. User Content and Data

Your Content: In the course of using Notiphy, you might input or upload content, data, or information into the Service (for example, creating notification messages, contact information for sending alerts, profile information, etc.). You retain ownership of any rights you hold in the content or data that you provide ("User Content"). These Terms do not give us ownership of your User Content. However, you grant Notiphy a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, and transmit your User Content solely for the purpose of operating and improving the Service.

Your Responsibilities for Content: You are solely responsible for the legality, reliability, and appropriateness of any User Content you submit. By providing any content, you represent and warrant that: (a) you have all necessary rights, licenses, or permissions to submit the content to the Service and to grant the license above; and (b) the content does not violate any law or these Terms.

9. Third-Party Services and Integrations

Notiphy integrates with or relies on certain third-party services to function effectively:

  • Payment Processing (Stripe): We use Stripe to handle credit card payments and subscription billing.
  • Email Delivery (SendGrid): We use SendGrid to send emails such as verification codes and notifications.
  • SMS Delivery (Twilio): We use Twilio to send text message notifications.
  • Database and Hosting (Supabase): Notiphy's application and user data are hosted on trusted cloud platforms.

While we carefully select third-party providers and integrations, Notiphy is not directly responsible for the acts or omissions of third-party services. However, if you encounter any issues related to these third parties as used in our Service, please contact us and we will do our best to assist or address the matter.

10. Intellectual Property Rights

Notiphy's Intellectual Property: All content and materials provided by Notiphy as part of the Service – including but not limited to software, code, design, logos, trademarks, service marks, text, graphics, and overall look-and-feel of the app/website – are the property of Notiphy (or its licensors) and are protected by intellectual property laws. Notiphy grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and Notiphy's content for your personal, lawful use consistent with these Terms.

Feedback: If you choose to provide any feedback, suggestions, or ideas regarding Notiphy or the Service ("Feedback"), you agree that Notiphy can use such Feedback in any way, for any purpose, without any restriction or compensation to you.

11. Termination of Service

By You: You may stop using the Notiphy Service and/or close your account at any time. If you wish to delete your account entirely, you can do so through the account settings (if available) or by contacting us directly.

By Notiphy: We reserve the right to suspend or terminate your access to the Service (in whole or in part) at our discretion, with or without notice, if we believe you have violated these Terms, applicable law, or if your use of the Service poses a security risk or could cause harm to us or others.

12. Disclaimer of Warranties

Use at Your Own Risk: Notiphy provides the Service "as is" and "as available". To the maximum extent permitted by law, Notiphy disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Service and any products or services obtained through the Service. This includes (but is not limited to) any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance.

In particular, Notiphy does not guarantee that: (a) the Service will meet your specific requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; or (c) the results obtained from use of the Service will be accurate or reliable.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Notiphy (and its owner, future affiliates, officers, employees, agents, and partners) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service.

If, notwithstanding the above, Notiphy is found liable to you for any damage or loss arising from or connected to your use of the Service, Notiphy's total aggregate liability shall in no event exceed the total amount of fees actually paid by you to Notiphy for the Service in the six (6) months immediately prior to the event giving rise to the liability (or, if you have not paid any fees, the amount of $100.00 USD).

14. Indemnification

You agree to indemnify, defend, and hold harmless Notiphy, its owner (Robert William Joyner), and any future officers, directors, employees, and agents (collectively, the "Indemnified Parties") from and against any and all losses, liabilities, claims, demands, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, including any content you submit or actions you take through Notiphy; (b) your violation of these Terms or any law or regulation; (c) your infringement of any rights of a third party; or (d) any misuse of the Service by a third party using your account credentials.

15. Changes to These Terms

Notiphy may update or modify these Terms from time to time. If we make material changes, we will provide notice to users – for example, by posting the updated Terms on our website (with a new "Last Updated" date) and/or by sending a notice to the email address associated with your account. Please review these Terms periodically for changes. Changes will not retroactively modify the parties' rights and obligations on past activities, and will become effective no sooner than 30 days after posting.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of North Carolina, USA, without regard to its conflict of law principles, and (to the extent applicable) the federal laws of the United States.

Jurisdiction: You agree that any dispute or claim arising from these Terms or your use of Notiphy shall be exclusively brought in the state or federal courts located in Mecklenburg County, North Carolina. You consent to the personal jurisdiction and venue of those courts.

Waiver of Class Actions: To the fullest extent permitted by law, you and Notiphy agree that any disputes will be resolved on an individual basis, and that any claims brought under these Terms or in connection with the Service must be brought in the parties' individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

17. Miscellaneous

Entire Agreement: These Terms (along with any additional agreements or policies referenced herein, including the Privacy Policy) constitute the entire agreement between you and Notiphy regarding the Service and supersede any prior agreements or understandings.
